    Univar Solutions is implementing a legal entity change in the Nordics as part of its wider Legal Entity Operationalisation programme.

    From 1 November 2026, suppliers who provide products or services to both Chemical Distribution & Services (CD&S) and Ingredients & Specialties (I+S) will need to create new Univar Solutions customer records and update their systems to transact with the new country-specific CD&S legal entities in Sweden, Norway, Denmark and Finland. Transactions relating to I+S will continue to be managed through the existing Univar Solutions B.V. Entity.

    This page provides all information, supporting documents and guidance needed to identify impacted transactions, complete the required updates and ensure a smooth transition with no disruption to business operations.

    Background

    Why are you making this change?

    We are aligning our legalentity structure with our organisational structure as recently announced.This means parts of our business will operate under a new legal entity, while others will continue as they are.

    The organizational evolution aligns Univar Solutions around distinct, customer-focused segments:

    • Chemical Distribution & Services: Focused on bringing together a full portfolio of chemistries with a robust global logistics network to provide best-in-class, local service.
    • Ingredients + Specialties: Dedicated to serving targeted industries with a premier portfolio of specialty chemicals and ingredients supported by a global network of formulation labs and test kitchens to solve technical challenges and help bring better products to market, faster.
    • ChemPoint: Will continue to help suppliers and customers uncover new opportunities for growth through on demand creation and multi-channel digital marketing campaigns for a wide range of chemicals and ingredients.

    This means parts of our business will operate under a new legal entity, while others will continue as they are.

    Set Up

    When do we need to set up the new account?

    Before 1st November 2026, to help avoid disruption to purchasing, invoicing, or payment processes.

    Will all products move to the new legal entity?

    No. Only Chemical Distribution & Services products will move to a new legal entity. I+S purchasing arrangements will remain 
    unchanged.

    I am both a Univar Solutions customer and a supplier; how do these changes affect me?

    If you both buy from and supply Univar Solutions, we will provide the relevant guidance for each relationship separately, so you know what action, if any, is needed.

    Will we need to manage multiple customer records going forward?

    Yes. You will continue to supply Univar Solutions, but purchasing will be split across two setups:

    • Your existing Univar Solutions B.V. account for I+S supplies in the Nordics.
    • One or more new local Univar Solutions legal entities for CD&S supplies in the Nordics.
    We operate in multiple countries – does this apply everywhere?

    This communication relates to changes in the Nordics. There will be similar changes happening in the UK,  France and Belgium that take effect from the 1st of February 2027. If you also supply products or services  to Univar Solutions in these countries, separate communications will follow regarding changes in those  countries.

    We supply multiple countries using a central stock location. Can we continue to do this?

    Yes. The legal entity changes do not prevent suppliers from using a central manufacturing or stock-holding  model to support multiple countries. Any changes relate to the legal entities with which you transact, not  how you manage your inventory or supply chain operations.

    Purchase Orders

    Will existing Purchase Orders remain valid?

    Purchase Orders issued before 1st November 2026 will remain valid. However, replacement Purchase  Orders will be issued by the new legal entity where purchases are expected to be delivered after the go-live  date.

    Deliveries

    Will delivery locations change?

    Delivery locations are expected to remain unchanged. If any specific location changes are required, your Univar Solutions contact will advise you directly.

    Invoices and Payments

    Which invoices should be submitted to which entity during the transition?

    Invoices must be issued to the legal entity identified on the purchase order or replacement purchase order  (if any). Where you supply both I+S and CD&S businesses, you will need to invoice both Univar Solutions. B.V. for I+S purchases, and the relevant CD&S legal entity for CD&S purchases.

    How will I know which Univar Solutions division I supply?

    Your regular Univar Solutions commercial contact will provide clear guidance on which of our supply activity is affected. 

    Are there any changes to payment terms?

    For your I+S portfolio supplies, there is no change. 


    For your CD&S portfolio supplies, there is no change other than the contractual relationship will be  transferred to CD&S entity operating in the country where you supply products or services.

    Written Agreements

    I have a written agreement with Univar Solutions BV, how is it affected?

    Your usual commercial contact will liaise with you to address the transfer of the CD&S portion of the existing written agreement to the relevant CD&S entities in the Nordics pursuant to the terms and conditions of such agreement.
